About Bluesquare<\/h2>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\">1.1 Legal identity<\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare SA (VAT: BE0501535431) is a company incorporated under Belgian law, headquartered at Hive5, Rue des Francs 79, 1040 Brussels, Belgium.<br>It designs, deploys, and maintains digital solutions and data infrastructures supporting health and development programmes worldwide.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\">1.2 Products and services<\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">BBluesquare offers a portfolio of software, hosting and professional services, including but not limited to the products listed above.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Each product and its plans, resource limits and features (e.g. storage, submissions, environments, included support) are described in the <strong>Bluesquare Product Catalogue<\/strong> and on the relevant <strong>pricing pages<\/strong>, including for example:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-d0a038\">\n<li class=\" eplus-wrapper\">IASO pricing: <a href=\"https:\/\/www.openhexa.com\/products\/softwares\/iaso\/\">https:\/\/www.openhexa.com\/products\/softwares\/iaso\/<\/a><\/li>\n\n\n\n<li class=\" eplus-wrapper\">OpenHEXA pricing: <a href=\"https:\/\/www.openhexa.com\/products\/softwares\/openhexa\/\">https:\/\/www.openhexa.com\/products\/softwares\/openhexa\/<\/a><\/li>\n\n\n\n<li class=\" eplus-wrapper\">DHIS2 hosting pricing: <a href=\"https:\/\/www.openhexa.com\/products\/service-subscriptions\/dhis2\/\">https:\/\/www.openhexa.com\/products\/service-subscriptions\/dhis2\/<\/a>\u00a0<\/li>\n\n\n\n<li class=\" eplus-wrapper\">On-Premise hosting pricing: <a href=\"https:\/\/www.openhexa.com\/products\/service-subscriptions\/service-packs\/\">https:\/\/www.openhexa.com\/products\/service-subscriptions\/service-packs\/<\/a><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Service Packs pricing: <a href=\"https:\/\/www.openhexa.com\/products\/service-subscriptions\/service-packs\/\">https:\/\/www.openhexa.com\/products\/service-subscriptions\/service-packs\/<\/a><br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">These pages are incorporated by reference into these Terms (collectively, the <strong>\u201cProduct Catalogue\u201d<\/strong>).<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\">1.3 Open-source position<\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare develops and contributes to several open-source projects, including IASO and OpenHEXA.<br>While these tools are released under their respective open-source licences, Bluesquare provides commercial <strong>hosting, maintenance, and integration services<\/strong> for them.<br>Subscriptions grant access to Bluesquare-managed environments and related services but do not confer ownership or exclusive rights over the underlying software code.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\">1.4 Role and data responsibility<\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Depending on the service:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-66277c\">\n<li class=\" eplus-wrapper\">Bluesquare acts as <strong>software publisher and service provider<\/strong> for its tools;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Bluesquare acts as <strong>technical operator and Data Processor<\/strong> for hosted environments;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">The Customer acts as <strong>Data Controller<\/strong>, responsible for lawful collection and use of data processed through Bluesquare systems;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">For <strong>on-premise deployments<\/strong>, the Customer is also the <strong>infrastructure operator and host<\/strong> of all data.<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare enables Customers to meet their legal and regulatory obligations by providing secure technical environments and good-practice guidance, but the Customer remains responsible for ensuring that data processing is lawful and compliant.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\">1.5 Service delivery principles<\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare performs its services with due skill, care and diligence consistent with professional standards.We do <strong>not<\/strong> guarantee uninterrupted or error-free operation but commit to <strong>commercially reasonable efforts<\/strong> and a <strong>best-effort service level<\/strong> as described in section 5.<\/p>\n<\/div><\/div>\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>2. Scope, product catalogue and pricing<\/strong><\/h2>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>2.1 product catalogue and pricing evolution<\/strong><\/h3>\n\n\n<ol class=\" wp-block-list eplus-wrapper eplus-styles-uid-521602\">\n<li class=\" eplus-wrapper\">Product descriptions, plans, resource limits and pricing are defined in the <strong>Product Catalogue<\/strong> and on the applicable pricing pages on Bluesquare\u2019s website.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Bluesquare may update the Product Catalogue, including pricing and plan features, <strong>at any time<\/strong>.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Unless otherwise agreed in writing:<br><ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-57ba59\">\n<li class=\" eplus-wrapper\">Updated prices apply to <strong>new subscriptions<\/strong> and <strong>renewals<\/strong> only;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Price changes do <strong>not<\/strong> retroactively affect fees already paid for a current, fixed subscription term.<br><\/li>\n<\/ul><\/li>\n<\/ol>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>2.2 non-refundable nature of fees<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Unless explicitly stated otherwise in a signed agreement or where mandatory law requires, <strong>all fees are:<\/strong><\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-a3b353\">\n<li class=\" eplus-wrapper\"><strong>Payable upfront<\/strong> for the selected term or package;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Non-refundable<\/strong>, <strong>non-creditable<\/strong> and <strong>non-transferable<\/strong>, even if services are not fully used, are terminated early by the Customer, or are suspended due to Customer breach (including non-payment).<\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><strong>3. use of bluesquare products<\/strong><\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>3.1 subscriptions (SaaS and hosting)<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">A <strong>Subscription<\/strong> is paid access to a hosted Bluesquare product or hosting service (e.g. IASO, OpenHEXA, DHIS2 hosting), limited to the selected plan and duration.<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-a6cc35\">\n<li class=\" eplus-wrapper\">Subscriptions are usually <strong>monthly or annual<\/strong> and may renew automatically unless otherwise specified.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">The Product Catalogue defines what is included (e.g. capacity limits, onboarding, included Helpdesk hours).<br><\/li>\n<\/ul>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>3.2 on-premise setup and maintenance<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">For on-premise deployments, Bluesquare installs and maintains its software on <strong>Customer-owned infrastructure<\/strong>.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare provides expertise on the software and best practices, but <strong>does not act as an infrastructure manager<\/strong>. The Customer owns and operates the underlying servers, OS, networks and storage.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>3.3 service packs<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><strong>Service Packs<\/strong> are prepaid packages of expert time for configuration, integration, training, hosting maintenance or other professional services across Bluesquare products.<br\/>The Product Catalogue describes available sizes, rates and possible uses.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>4. helpdesk, service packs and boundary between them<\/strong><\/h2>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>4.1 included helpdesk<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Certain subscription plans include <strong>Helpdesk support<\/strong>, typically via an online portal or email. Unless otherwise stated, included Helpdesk covers:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-0b4865\">\n<li class=\" eplus-wrapper\">Confirmed software bugs that prevent normal use;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Incidents or outages in Bluesquare-managed environments;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Clarifications on standard functionality that are not resolved by documentation, FAQs or training materials.<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Helpdesk operates during Bluesquare <strong>Business Days<\/strong> and hours as defined in the Product Catalogue (usually Monday\u2013Friday, 9AM to 6PM, CET\/CEST, excluding Belgian public holidays).<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>4.2 service packs (expert services)<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Service Packs are used for <strong>value-adding work<\/strong>, such as:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-257754\">\n<li class=\" eplus-wrapper\"><strong>Helpdesk (expert guidance):<\/strong> access to Bluesquare experts for functional and usage support (excluding bug fixing)<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Software configuration:<\/strong> setup of IASO, OpenHEXA, or DHIS2 to match your project\u2019s needs<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Dashboard design:<\/strong> creation of custom visualizations and KPIs for analysis and monitoring<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Hosting maintenance:<\/strong> troubleshooting, technical advice, server updates, database backups, and custom scripts<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Implementation advice:<\/strong> guidance on how to configure and deploy your system efficiently<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Training:<\/strong> capacity-building sessions to help your team understand and use the tools effectively<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>System analysis:<\/strong> review of your setup to identify strengths, weaknesses, and areas for improvement<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Historical data import:<\/strong> integration of existing data to track trends over time<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Data cleaning:<\/strong> improvement of data quality through deduplication, validation, and corrections<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Data integration and automated pipelines:<\/strong> connecting systems for automated data exchange and processing<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><strong>Exclusions:<\/strong><strong><br\/><\/strong> The following activities are not included unless explicitly agreed upon in writing:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-af7563\">\n<li class=\" eplus-wrapper\">Custom software development or feature creation<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Tasks requiring third-party licenses or systems outside the agreed technology stack<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Ongoing bug fixes or troubleshooting covered under the Helpdesk included in product subscriptions<\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Service Pack hours are:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-297e80\">\n<li class=\" eplus-wrapper\"><strong>Prepaid<\/strong>,<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Tracked in increments<\/strong> of 30 minutes,<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Valid for a limited period<\/strong> &#8211; 12 months from purchase<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Non-refundable and non-transferable<\/strong>.<br><\/li>\n<\/ul>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>4.3 boundary between helpdesk and service packs<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">To avoid ambiguity:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-af71ef\">\n<li class=\" eplus-wrapper\"><strong>Subscription Helpdesk<\/strong> = <strong>bug fixing and incident response<\/strong> necessary to ensure the platform functions as documented.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Service Pack work<\/strong> = <strong>advisory and implementation<\/strong> work, even if delivered via the same channel (e.g. \u201cHow do I configure a new form?\u201d, \u201cCan you build this dashboard?\u201d, \u201cPlease integrate with our DHIS2 instance?\u201d).<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">If a support request falls outside the scope of included Helpdesk, Bluesquare may ask the Customer to <strong>use or purchase a Service Pack<\/strong> to address it.<\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>5. hosting: infrastructure, monitoring and SLA<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">This section applies to <strong>Bluesquare-hosted<\/strong> environments for IASO, OpenHEXA, DHIS2 hosting and similar services.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>5.1 infrastructure and security<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-b480cc\">\n<li class=\" eplus-wrapper\">Hosts customer systems on reputable cloud providers (e.g. AWS, OVH or equivalent);<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Uses modern deployment practices (containers, orchestration, managed databases) as appropriate;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Applies:<br><ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-b324a5\">\n<li class=\" eplus-wrapper\">Encryption in transit (HTTPS\/TLS);<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Encryption at rest where supported;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Firewalling and controlled network access;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Restricted SSH access for authorized staff only;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Regular application and OS security updates.<br><\/li>\n<\/ul><\/li>\n<\/ul>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>5.2 monitoring and incident management<\/strong><\/h3>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-6f5c90\">\n<li class=\" eplus-wrapper\">Hosting environments are monitored for availability and core performance metrics (CPU, memory, disk, service health).<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Alerts are sent to Bluesquare\u2019s operations team for investigation.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">In case of incident, Bluesquare will use <strong>best efforts<\/strong> to identify the issue and restore normal operation.<br><\/li>\n<\/ul>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>5.3 backups and disaster recovery<\/strong><\/h3>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-e142d2\">\n<li class=\" eplus-wrapper\">Bluesquare performs <strong>automated backups<\/strong> of databases (and, where relevant, application storage) <strong>at least daily<\/strong>, with a <strong>minimum retention of 7 days<\/strong>, or longer where specified in a particular plan.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">In case of data loss or corruption caused by technical failure within Bluesquare-managed infrastructure, Bluesquare will use <strong>commercially reasonable efforts<\/strong> to restore from the most recent valid backup.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">The Customer is encouraged to request exports and maintain additional archives when required for compliance or internal policies.<br><\/li>\n<\/ul>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>5.4 service availability and best-effort SLA<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare operates under a <strong>Best Effort Service Level Agreement<\/strong>:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-8d989a\">\n<li class=\" eplus-wrapper\"><strong>Target uptime<\/strong>: 99% monthly for production environments under Bluesquare\u2019s control,<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Excluding<\/strong>: scheduled maintenance, third-party provider outages, Customer-side connectivity issues, and force majeure (see section 10).<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Indicative <strong>response times<\/strong> during Business Days (CET\/CEST):<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-3a8d76\">\n<li class=\" eplus-wrapper\"><strong>Blocking issues<\/strong> (system down \/ major outage): initial response within <strong>\u00bd business day<\/strong>;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Non-blocking issues<\/strong>: initial response within <strong>2 business days<\/strong>.<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">These are <strong>targets<\/strong>, not guaranteed service credits. Bluesquare does not warrant specific resolution times or uninterrupted availability but will act with professional diligence and keep the Customer informed.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>6. on-premise hosting and local environments<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">This section applies where Bluesquare software is installed on <strong>infrastructure owned or controlled by the Customer<\/strong>.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>6.1 we help, you own the infrastructure<\/strong><\/h3>\n\n\n<ol class=\" wp-block-list eplus-wrapper eplus-styles-uid-991af9\">\n<li class=\" eplus-wrapper\">Bluesquare provides expertise on configuration, setup and updates of IASO, OpenHEXA, DHIS2 or similar tools on local servers, but:<br><ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-bf6eba\">\n<li class=\" eplus-wrapper\">Bluesquare is <strong>not an infrastructure manager<\/strong>;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Bluesquare does <strong>not host<\/strong> Customer data in on-premise scenarios;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">The Customer is fully responsible for hardware, operating system, network, power, storage and physical security.<br><\/li>\n<\/ul><\/li>\n\n\n\n<li class=\" eplus-wrapper\">The Customer is both:<br><ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-25689c\">\n<li class=\" eplus-wrapper\">The <strong>Data Controller<\/strong>, and<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">The <strong>operator<\/strong> of the environment where data is stored and processed.<br><\/li>\n<\/ul><\/li>\n<\/ol>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>6.2 customer responsibilities<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">The Customer remains responsible for:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-84d060\">\n<li class=\" eplus-wrapper\">Providing and maintaining adequate CPU, RAM, storage and disk capacity;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Ensuring stable electricity and cooling;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Maintaining operating system patches and security;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Managing firewalls, network routes, VPNs and internet connectivity;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Implementing and validating a robust backup strategy for the entire environment;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Monitoring hardware health (disk usage, temperature, CPU, memory) and reacting to alerts;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Replacing faulty hardware and expanding resources as required;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Ensuring compliance with applicable data protection laws (e.g. GDPR).<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare cannot guarantee service continuity or data integrity if these conditions are not met.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>6.3 remote access requirement<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">To perform setup, updates and troubleshooting:<\/p>\n\n\n<ol class=\" wp-block-list eplus-wrapper eplus-styles-uid-8eb4a4\">\n<li class=\" eplus-wrapper\">The Customer must provide Bluesquare with <strong>secure remote access<\/strong> (e.g. SSH, VPN, Portainer or equivalent), with sufficient rights to perform the agreed tasks.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">If such access is:<br><ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-594fd4\">\n<li class=\" eplus-wrapper\">not provided,<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">withdrawn,<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">severely restricted, or<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">unreliable,<br>then:<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Bluesquare may be unable to perform its obligations (e.g. apply updates, diagnose incidents, restore from backups);<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Any resulting unavailability, data loss or degradation is <strong>not attributable<\/strong> to Bluesquare;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Bluesquare\u2019s obligations may be <strong>suspended<\/strong> until appropriate access is restored, without any refund or credit.<br><\/li>\n<\/ul><\/li>\n<\/ol>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>6.4 operational limitations<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Given the diversity of local environments, Bluesquare <strong>cannot<\/strong> guarantee:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-c6ec5f\">\n<li class=\" eplus-wrapper\">The same availability or performance levels as its cloud hosting;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Successful major OS upgrades done in-place on production servers;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Recovery when disks are full, backups are missing or corrupted, or logs\/monitoring are absent;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Resolution of incidents caused by third-party changes, local security policies, or incompatible software installed by the Customer.<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare will use cautious procedures (e.g. backups before major changes when feasible) but cannot be held liable for loss or damage arising from the Customer\u2019s infrastructure state, subject to the global limitation of liability in section 9.<\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>7. data ownership, confidentiality and data protection<\/strong><\/h2>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>7.1 ownership<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">The Customer retains full ownership and control of all <strong>Customer Data<\/strong> uploaded to or processed within Bluesquare products or hosted environments.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare does not claim any ownership over Customer Data.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>7.2 data controller and data processor<\/strong><\/h3>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-a1b1ca\">\n<li class=\" eplus-wrapper\">The Customer is the <strong>Data Controller<\/strong>, responsible for defining the purposes and means of processing and for ensuring lawful collection and use.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">When Bluesquare hosts or processes data on behalf of the Customer (e.g. SaaS products, cloud hosting), Bluesquare acts as <strong>Data Processor<\/strong>, in line with applicable data protection laws (including GDPR where applicable) and any specific Data Processing Agreement.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">In <strong>on-premise<\/strong> scenarios, Bluesquare <strong>does not host<\/strong> Customer Data, and data protection compliance remains primarily under the Customer\u2019s responsibility.<br><\/li>\n<\/ul>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>7.3 security measures<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare implements appropriate <strong>technical and organizational measures<\/strong> to protect data in its hosted environments, including:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-823702\">\n<li class=\" eplus-wrapper\">Encryption in transit and, where supported, at rest;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Access controls and authentication, with least-privilege principles;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Restricted administrative access to authorized staff bound by confidentiality;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Regular security updates and vulnerability remediation;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Logging and monitoring appropriate to the deployment size and sensitivity.<br><\/li>\n<\/ul>\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>7.4 confidentiality<\/strong><\/h3>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Both parties agree to keep confidential all non-public information exchanged during service delivery.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare ensures that only authorized personnel access Customer Data for maintenance or support purposes and that they are bound by confidentiality obligations.<\/p>\n\n\n\n<h3 class=\" wp-block-heading eplus-wrapper\"><strong>7.5 retention and deletion<\/strong><\/h3>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-e41a0c\">\n<li class=\" eplus-wrapper\">Backups are retained for at least the minimum period stated in the Product Catalogue (usually 7 days or more).<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Upon termination of a subscription, the Customer may request export of its data within the period indicated for each product (typically 30 days).<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">After that period, Bluesquare may delete or anonymize Customer Data from active systems and backups within reasonable delays, except where longer retention is required by law.<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare\u2019s general <strong>Privacy Policy<\/strong> (available at<a href=\"https:\/\/www.openhexa.com\/privacy-policy\/\"> https:\/\/www.openhexa.com\/privacy-policy\/<\/a>) describes additional measures and practices; in case of discrepancy, these Terms take precedence for the contractual relationship.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>8. third-party dependencies<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare products and services rely on:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-ff275f\">\n<li class=\" eplus-wrapper\">Open-source components;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Third-party services (e.g. cloud providers, email gateways, external APIs);<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Customer-supplied systems and integrations (e.g. DHIS2, CommCare, national systems).<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare is <strong>not liable<\/strong> for failures, performance issues, security incidents or unavailability directly caused by:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-4a421e\">\n<li class=\" eplus-wrapper\">Third-party service outages or degradation;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Changes made by third-party vendors;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Customer-managed systems or integrations.<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare will use reasonable efforts to mitigate the impact of such issues where possible but cannot guarantee restoration of services beyond what those third parties provide.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>9. limitation of liability<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">To the fullest extent permitted by law:<\/p>\n\n\n<ol class=\" wp-block-list eplus-wrapper eplus-styles-uid-ee8c49\">\n<li class=\" eplus-wrapper\"><strong>No indirect damages<\/strong><strong><br><\/strong> Bluesquare is not liable for any indirect, incidental, special or consequential damages, including loss of revenue, profit, savings, data, business opportunity or reputation, even if advised of their possibility.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Aggregate liability cap<\/strong><strong><br><\/strong> Bluesquare\u2019s total aggregate liability arising out of or in connection with the Agreement (including these Terms, the Product Catalogue and any order forms), whether in contract, tort or otherwise, is limited to the <strong>total fees paid by the Customer to Bluesquare for the relevant service during the twelve (12) months<\/strong> immediately preceding the event giving rise to the claim.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\"><strong>Essential purpose<\/strong><strong><br><\/strong> This limitation applies even if any contractual remedy fails of its essential purpose.<br><\/li>\n<\/ol>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Nothing in these Terms excludes or limits liability which cannot be excluded under applicable law (e.g. for death or personal injury caused by gross negligence or wilful misconduct).<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>10. force majeure<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-511bdf\">\n<li class=\" eplus-wrapper\">Natural disasters or extreme weather;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Acts of government or regulatory changes;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Strikes, labour disputes or civil unrest;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Widespread internet or power outages;<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Failures of third-party service providers that are not under Bluesquare\u2019s direct control.<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">In such cases, Bluesquare will use reasonable efforts to resume performance as soon as practicable.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>11. service evolution<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare may improve, modify or discontinue certain features of its products or services from time to time, provided that:<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-21a8aa\">\n<li class=\" eplus-wrapper\">The core functionality of active, paid subscriptions remains available for the duration of the current term; and<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Any significant change with material impact on usage is communicated to affected Customers in advance where reasonably possible.<br><\/li>\n<\/ul>\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Updates to pricing, plan features or new product lines are handled through the <strong>Product Catalogue<\/strong>, as described in section 2.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>12. amendments<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Bluesquare may amend these Terms from time to time.<\/p>\n\n\n<ul class=\" wp-block-list eplus-wrapper eplus-styles-uid-1887d3\">\n<li class=\" eplus-wrapper\">The latest version will be published on Bluesquare\u2019s website.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">For ongoing subscriptions, amendments will apply from the next renewal, unless required earlier by law or for security reasons.<br><\/li>\n\n\n\n<li class=\" eplus-wrapper\">Continued use of Bluesquare products or services after the effective date of updated Terms constitutes acceptance of those changes.<br><\/li>\n<\/ul>\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>13. governing law and jurisdiction<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">These Terms and any disputes arising out of or in connection with them are governed by <strong>Belgian law<\/strong>, without regard to its conflict of laws principles.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">Any dispute shall be submitted to the <strong>exclusive jurisdiction of the courts of Brussels, Belgium<\/strong>.<\/p>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\"><\/p>\n\n\n\n<h2 class=\" wp-block-heading eplus-wrapper\"><strong>14. governing language<\/strong><\/h2>\n\n\n\n<p class=\"eplus-wrapper wp-block-paragraph\">These Terms may be translated into other languages for convenience.
